1. INTRODUCTION

1.1. This Public Offer Agreement (the «Agreement») sets out the terms and conditions under which the private digital service Nuvio («Nuvio», «we», «us», «our») provides paid access keys and configurations to users («User», «you»).

1.2. By purchasing, accessing, or using any Nuvio digital key or configuration, you confirm that you have read, understood, and agreed to this Agreement and to our Privacy Policy.

1.3. Nuvio is an independent digital project, not a registered legal entity. Services are provided on an as-is basis for lawful personal use only.

1.4. If you do not agree with these terms, do not purchase or use the Service.

2. DEFINITIONS

For purposes of this Agreement:

• Service / Nuvio Service — the online platform, systems, APIs, software, and digital tools operated by Nuvio that allow Users to obtain secure digital access keys or configurations.
• Digital Key / Configuration — unique, personalized connection parameters issued to the User for access via Outline, VLESS + REALITY, or L2TP protocols.
• Outline Key — a unique URI or configuration file (.json) allowing connection to the Outline system.
• VLESS + REALITY Parameters — a personalized combination of identifiers (uuid, server, port, flow, sni, pbk, sid, etc.) generated exclusively for the User.
• L2TP Credentials — a personalized username, password, and server address for connection via the L2TP protocol.
• Subscription / Plan — a paid service period defined by speed, data limit, location, and duration.
• Account — the digital interface through which the User manages subscriptions and services.
• Territorial Restrictions — the set of jurisdictions where VPN, proxy, or encrypted communication technologies are not permitted by local law.

3. SUBJECT OF THE AGREEMENT

3.1. Nuvio agrees to provide the User with paid digital services in the form of personalized access credentials (keys/configurations) to secure servers managed by Nuvio.

3.2. The Service enables Users to establish encrypted digital connections for privacy and secure data transmission, within the limits of applicable law.

3.3. Each issued configuration or key is unique and assigned to a single User. Redistribution, resale, or transfer to third parties is strictly prohibited.

3.4. Services are provided remotely and deemed delivered upon generation and provision of the digital key or configuration.

4. ACCEPTANCE OF THE OFFER AND FORMATION OF CONTRACT

4.1. This Agreement constitutes a public offer for any User who wishes to use the Service.

4.2. The User accepts (agrees to) this Offer by performing any of the following actions:

• completing payment for any Nuvio service
• registering or logging into an account
• activating or using any provided key or configuration

4.3. Upon acceptance, the Agreement is considered concluded electronically and has the same legal force as a written contract.

5. SERVICE TERMS AND USE RESTRICTIONS

5.1. Upon payment, Nuvio generates and issues to the User individual connection credentials for the chosen protocol (Outline, VLESS + REALITY, or L2TP).

5.2. Service parameters (speed, data limits, duration, device count, or location) are defined by the selected plan.

5.3. Prohibited Use: The User must not use the Service for, or in connection with:

• unlawful, harmful, or fraudulent activities
• spam, DDoS, network abuse, or unauthorized access to systems
• distribution of malware or phishing
• violation of intellectual property rights
• attempts to conceal criminal activity
• violation of applicable sanctions or export restrictions

5.4. The Service must not be used in jurisdictions where VPN or encryption technologies are restricted or prohibited by law, including (without limitation): China, Iran, UAE, Qatar, North Korea, Turkmenistan, Oman, and similar jurisdictions.

5.5. Users are solely responsible for ensuring that their use of the Service is legal in their jurisdiction.

6. PAYMENT AND DELIVERY

6.1. All payments are made via secure third-party payment processors. Nuvio does not store payment data.

6.2. Once payment is confirmed, the Service automatically generates and delivers the User’s digital key or configuration via the website or email.

6.3. Due to the digital nature of the Service, all payments are final and non-refundable after key generation.

7. REFUNDS

7.1. Refunds are only possible if the purchased key or configuration is proven defective or unusable due to a confirmed technical issue on Nuvio’s side, and only if requested within 3 days of purchase.

7.2. No refunds are provided for user mistakes, misunderstanding of functionality, or inability to use the Service in restricted regions.

8. LIMITATION OF LIABILITY

8.1. Nuvio provides the Service on an "as is" basis without warranties of any kind, express or implied.

8.2. Nuvio is not liable for interruptions, data loss, or damages arising from improper use, force majeure, or third-party actions.

8.3. The maximum liability of Nuvio for any claim shall not exceed the total amount paid by the User for the relevant subscription.

9. DATA AND PRIVACY

9.1. Nuvio collects minimal technical data necessary for the Service’s operation (for example, connection time, bandwidth usage) and does not log browsing content or destination addresses.

10. TERM AND TERMINATION

10.1. This Agreement is valid from the moment of acceptance and remains in force during the active subscription period.

10.2. Nuvio reserves the right to suspend or revoke access if the User violates the Agreement or uses the Service for prohibited activities.

11. GOVERNING PRINCIPLES

11.1. This Agreement is governed by general principles of international commercial practice for digital services.

11.2. All disputes or misunderstandings shall be resolved through written communication and good-faith negotiation between the parties.

12. MODIFICATION OF THE AGREEMENT

12.1. Nuvio reserves the right to modify, update, or change the terms of this Agreement at any time. Any changes will be posted on the website, and the User will be notified of the modifications.

12.2. By continuing to use the Service after such changes, you accept the updated Agreement.
